Terms and Conditions

1. Acceptance of Terms

These Terms & Conditions (“Terms”) form a legal agreement between Medis Media Pty Ltd (“Medis Media”, “we”, “us”, “our”) and you (“you”, “user”, “institution”) and govern your use of:

  • Our websites,

  • Our software and applications (including 3D Organon, 3D Organon XR, Examverse, Medverse, and related modules), and

  • Any services, content, and digital materials made available through them

(collectively, the “Services”).

By accessing the Services, creating an account, downloading or installing our software, or clicking to accept these Terms, you confirm that you have read, understood, and agree to be bound by:

  • These Terms, and

  • Our Privacy Policy (which forms part of this Agreement).

If you are accepting these Terms on behalf of an organization (e.g., a university, hospital, or training provider), you represent that you have the authority to bind that entity. If you do not agree to these Terms, you must not use the Services.

2. Nature of the Services – Educational Use Only (No Medical Advice)

Medis Media develops immersive, technology-enhanced educational tools for health and medical sciences. Our Products and Services are intended for educational and training purposes only.

  • They are not intended to provide medical advice, diagnosis, treatment, or clinical decision-making support.

  • They must not be used as a substitute for professional medical judgment, real-world clinical training, or local clinical guidelines.

By using the Services, you acknowledge and agree that Medis Media does not provide medical services or medical advice, and that any clinical scenarios, anatomy, pathology, or procedure content is for simulation and learning only.

3. Eligibility and Professional Use

To use most of our Services, you must:

  • Be at least 18 years old, or the age of legal majority in your jurisdiction; and

  • Be a healthcare professional, educator, or student in a healthcare program, or otherwise formally authorized by an institution using our Services.

Some Services may be made available to students or trainees under institutional licenses. In such cases, the institution is responsible for ensuring appropriate supervision, access control, and compliance with local regulations.

You agree that any registration information you provide will be accurate, current, and complete, and that you will keep it up to date.

4. Accounts, Registration, and Security

You may need to create an account to access parts of the Services. When you register:

  • You must provide true, accurate, and complete information.

  • You are responsible for maintaining the confidentiality of your login credentials.

  • You are responsible for all activity that occurs under your account.

If you believe your account or password has been compromised, you must notify us promptly at [email protected].

Medis Media reserves the right to refuse, suspend, or terminate accounts at our discretion, including for violation of these Terms, suspected misuse, or security concerns.

5. License Grant and Permitted Use

The Services and all associated software, content, and materials are licensed, not sold.

Subject to these Terms and any applicable agreement with your institution, Medis Media grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for:

  • Your personal learning and professional development; and/or

  • Educational, training, and research purposes within your institution.

You may not:

  • Modify, adapt, translate, reverse engineer, decompile, or disassemble the software (except to the extent permitted by law).

  • Copy, redistribute, resell, or provide the Services to third parties outside your permitted user group, except as allowed under a written agreement with Medis Media.

  • Circumvent technical protections, license restrictions, or security features.

Any rights not expressly granted in these Terms are reserved by Medis Media.

6. Prohibited Content and Data (No PHI / No DICOM Uploads)

Our systems and architecture are explicitly designed not to receive or store:

  • Patient identifiable information

  • Protected Health Information (PHI)

  • Raw DICOM imaging files

  • Student PII or identifiable exam records

You must not upload, enter, or otherwise introduce any real patient data, PHI, or identifiable clinical records into the Services. All DICOM processing (CT/MRI) is designed to occur locally on the user’s device with automatic stripping of identifiers, as explained in our Privacy Policy.

If you violate this prohibition and introduce PHI or patient identifiers into the Services, you do so at your own risk and in breach of these Terms, and you are solely responsible for any resulting obligations or liabilities.

7. Orders, Pricing, and Payments

Prices for licenses, subscriptions, and other Products are displayed via our Website, reseller portals, or official quotations. Prices may change due to taxes, exchange rates, or corrections.

  • Unless otherwise stated, prices are exclusive of taxes and duties.

  • You are responsible for paying all applicable taxes, unless Medis Media collects them at the point of sale.

  • Some purchases may be handled through authorized distributors or resellers; in such cases, their commercial terms may also apply.

If an invoice is issued, payment is due within 30 days of the invoice date unless otherwise agreed in writing. Late payments may incur interest at 1.5% per month or the maximum rate permitted by law.

We reserve the right to suspend or terminate access to the Services in case of non-payment.

8. Subscriptions and Automatic Renewal

Certain Services are provided on a subscription basis. If your subscription is set to auto-renew:

  • It will renew at the end of each term at the then-current rate, unless cancelled in advance.

  • You may disable auto-renewal according to the instructions in your account or contract.

Upon termination or non-renewal, you must cease using the Services and uninstall any licensed software where applicable.

9. Service Availability and Updates

We aim to provide reliable, high-quality Services, but:

  • Access may occasionally be suspended or limited due to maintenance, updates, infrastructure changes, or events beyond our reasonable control.

  • We may introduce new features, modify existing ones, or discontinue parts of the Services from time to time.

We may also provide updates, patches, or new versions of our software, and you consent to the installation of such updates where necessary to maintain security or functionality.

10. Feedback and Beta Features

If you submit suggestions, feedback, or ideas about our Services, you agree that Medis Media may use them without restriction or obligation to you.

From time to time, we may offer early access, beta, or experimental features. These may be incomplete, unstable, or subject to change, and are provided “as is” for evaluation or pilot use.

11. User Content and Customization

Certain parts of the Services (for example, Examverse or lesson authoring tools) may allow you to create:

  • Custom anatomical scenes or views

  • Lesson plans, cases, or assessments

  • Annotations, labels, or other teaching content

You retain rights in your own original content, but by uploading or creating content within the Services, you grant Medis Media a limited license to store, process, and display that content solely for the purpose of operating and improving the Services and supporting your institution’s use.

You are responsible for ensuring that your content:

  • Does not include patient identifiers or PHI;

  • Does not infringe third-party intellectual property rights; and

  • Complies with applicable laws and institutional policies.

12. Third-Party Services and Links

Our Services may integrate with, or link to, third-party platforms (e.g., LMS systems, app stores, cloud providers, video platforms). We are not responsible for the content, terms, or privacy practices of those third parties.

Your use of third-party services is governed by their own terms and policies. We recommend that you review them carefully.

13. Intellectual Property

All intellectual property rights in and to the Services—including software, code, 3D models, XR environments, graphics, text, trademarks, logos, and design—are owned by Medis Media or our licensors.

You may not use our trademarks or branding without our prior written consent. Any unauthorized reproduction, modification, or exploitation of our intellectual property may result in legal action.

14. Indemnity

You agree to indemnify and hold harmless Medis Media, its affiliates, officers, employees, and partners from any claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from:

  • Your breach of these Terms,

  • Your misuse of the Services, or

  • Your violation of any applicable law or third-party rights.

We reserve the right to assume the defense of any matter subject to indemnification, in which case you agree to cooperate with us.

15. Disclaimers

The Services are provided on an “as is” and “as available” basis.

To the maximum extent permitted by law, Medis Media disclaims all warranties, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Services will be uninterrupted, error-free, secure, or free from harmful components, nor that they will meet your specific requirements or outcomes. No advice or information, whether oral or written, obtained from Medis Media creates any warranty not expressly stated in these Terms.

Use of XR/VR technologies may cause discomfort, disorientation, or photosensitive reactions in some individuals. You are responsible for ensuring safe use, following device manufacturer guidelines, and ceasing use if adverse symptoms occur.

16. Limitation of Liability

To the fullest extent permitted by law:

  • Medis Media shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities, arising out of or in connection with the use or inability to use the Services.

  • Our total aggregate liability under or in connection with these Terms and the Services shall not exceed AUD $100, regardless of the cause or number of claims.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

17. Termination and Suspension

We may suspend or terminate your access to the Services, in whole or in part, at any time if:

  • You breach these Terms;

  • You violate our acceptable use rules or applicable law;

  • Required by law or by a request from an authorized authority; or

  • There are security, operational, or business reasons to do so.

Upon termination, your right to use the Services ceases immediately. Provisions that by their nature should survive termination (including intellectual property, disclaimers, limitations of liability, and indemnity) will continue to apply.

18. Governing Law and Jurisdiction

These Terms are governed by the laws of Queensland, Australia, without regard to conflict-of-law principles.

Any disputes arising out of or in connection with these Terms or the Services that cannot be resolved amicably shall be brought exclusively before the courts located in Gold Coast, Queensland, Australia.

19. Force Majeure

Medis Media is not responsible for any delay or failure to perform resulting from causes beyond our reasonable control, including but not limited to natural disasters, internet or telecommunications failures, acts of government, or strikes.

20. Changes to These Terms

We may update these Terms from time to time to reflect changes in our Services, business, or legal requirements. When we do so, we will revise the “Last Updated” date at the top of this page.

If changes are material, we may also provide additional notice (e.g., via email or in-app notification). Your continued use of the Services after such changes take effect constitutes your acceptance of the updated Terms.

21. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Medis Media may assign or transfer this Agreement in connection with a merger, acquisition, corporate reorganization, or sale of assets.

22. Entire Agreement and Interpretation

These Terms, together with the Privacy Policy and any applicable license or subscription agreement, constitute the entire agreement between you and Medis Media regarding the Services and supersede any prior agreements or understandings.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
